Anthropic plans to include an Australian retail share offer in its initial public offering, according to Commonwealth Securities, the broking arm of Commonwealth Bank of Australia, Reuters reported on Tuesday. CommSec said it would act as lead Australian retail broker if the IPO goes ahead.

The AI developer will not seek a listing on the Australian Securities Exchange. Reuters said Anthropic, which filed for its US IPO last week, is expected to go public before Thanksgiving and to trade on Nasdaq under the ticker "ANT" once the offering closes.

Unite.AI, citing Anthropic's own list, reported that eight firms are expected to take part in the Australian offer: Bell Potter, CommSec, LGT Wealth, Macquarie, Morgans, Morgan Stanley Wealth Management, Sharesies and Stake. The offer would consist of newly issued Class A common shares, sold under a prospectus lodged with the Australian Securities and Investments Commission. That prospectus is to be published on Anthropic's IPO website when the retail offer opens. Anthropic has not announced the number of shares, the price or a confirmed listing date, and no shares are on sale yet.

Australia is one of several countries where the company plans retail access. According to Unite.AI, retail offerings are also expected in Canada, Denmark, Finland, France, Germany, Ireland, the Netherlands, Norway, Spain, Sweden, Japan, Switzerland and the United Kingdom. RetailBook is acting as the UK public offer platform operator, and Anthropic does not intend to list its stock on exchanges in those countries.

The retail plans come as institutional demand is being tested. Reuters reported that some current and prospective investors are weighing a valuation of about $1.5 trillion, down from roughly $2 trillion, after the company disclosed financial details at a recent investor event. Anthropic expects to incur nearly half of its $895.4 billion in AI infrastructure spending commitments before December 31, 2030, which Reuters said has added to investor concerns.

Offering shares to retail investors in many countries at once is unusual for a US tech listing of this size. It would widen Anthropic's shareholder base beyond the institutions that usually dominate IPO allocations.
