A wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) and infrastructure investor I Squared Capital are teaming up with aircraft lessor Avolon to create a new aircraft leasing investment platform called Constellation Aviation, the companies announced.
Subject to completion, Constellation is expected to buy aircraft from Avolon with a current market value of $1.4 billion, according to AviTrader. The initial portfolio is made up of 22 modern, fuel-efficient aircraft with an average age of about five years, leased to 17 airlines in 15 countries.
Avolon will keep a minority equity stake in the joint venture and act as its exclusive aircraft manager and servicer, handling leasing, asset management and technical services. The venture will be supported by a syndicated debt facility from a group of international banks, which were not named. The deal still needs regulatory approvals.
The partners did not disclose how much equity each is contributing or when they expect the transaction to close.
Why It Matters
The structure pairs long-term institutional money with a lessor's operating expertise. For ADIA and I Squared, it offers exposure to contracted lease income from airlines. For Avolon, selling aircraft into a vehicle it continues to manage frees capital while keeping fee income and customer relationships.
The partners expect Constellation to grow, pointing to rising passenger demand, limited aircraft production capacity and airlines' increasing reliance on leasing to renew and expand their fleets. Aircraft manufacturers have struggled to meet delivery schedules for several years, which has kept demand for existing leased aircraft strong and made mid-life, fuel-efficient jets attractive to investors looking for steady yields.
The deal adds to a run of Abu Dhabi sovereign capital moving into real assets and infrastructure-style investments alongside specialist operators. Zawya reported the partnership on Wednesday, after the announcement earlier in the week.
